Final judgment in case Welten Group vs One Two Work. For the interim judgment see ECLI:NL:RBAMS:2025:1453. The Court denies Seller’s request to reverse decisions made in the interim judgment. It is not convinced that the decisions in the Interim Judgment were based on an unsound foundation. The Court determines the damages the Seller is liable for as a result of breaching certain warranties in the SPA. It does so on the basis of an analysis of the probable outcome of hypothetical renegotiations of the purchase price. The Seller’s reliance on the ‘loss of chance doctrine’ and contributory negligence is rejected. This results in the Court awarding EUR 10,237,700 in damages, to be reduced by the amount already paid to the Purchaser under an insurance policy. The Court also awards other items of the Purchaser’s claim for damages. -------------------------------------------------------------------------------------------------------------- Eindvonnis in de zaak Welten Group tegen One Two Work. Voor het tussenvonnis zie ECLI:NL:RBAMS:2025:1453. De rechtbank wijst het verzoek van Verkoper af om terug te komen op het tussenvonnis. Zij is niet overtuigd dat dat vonnis berust op een ondeugdelijke grondslag. De rechtbank stelt vervolgens de omvang van de schadevergoeding vast waarvoor de Verkoper aansprakelijk is als gevolg van schending van bepaalde garanties in de SPA. Zij doet dat aan de hand van een bepaling van de waarschijnlijke uitkomst van een hypothetische heronderhandeling van de koopprijs. Het beroep van Verkoper op de kansschadeleer en eigen schuld van Koper wordt afgewezen. De rechtbank bepaalt de schadevergoeding op EUR 10.237.700, te verminderen met de uitkering die Verkoper al van de verzekeraar heeft ontvangen. De rechtbank wijst ook andere schadeposten toe.
